Terms of Service

Welcome to Digitlify. These Terms of Service (“Terms”) govern your access to and use of Digitlify's website, mobile applications, and AI workforce services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services. We reserve the right to modify these terms at any time, and your continued use of the platform constitutes acceptance of those changes.

To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate and complete.

You agree not to engage in any of the following prohibited activities:

• check_circleCopying, distributing, or disclosing any part of the Services in any medium, including without limitation by any automated or non-automated “scraping”.
• check_circleUsing any automated system, including without limitation “robots,” “spiders,” or “offline readers,” to access the Services.
• check_circleAttempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Services.

The Services produce AI-generated content, recommendations, drafts, classifications, and automated actions (collectively, “AI Outputs”). You acknowledge and agree that:

• AI Outputs can be inaccurate, incomplete, biased, outdated, or fabricated (“hallucinated”). You must review AI Outputs before acting on them, publishing them, sharing them with third parties, or making decisions based on them.
• AI Outputs do not constitute legal, medical, tax, financial, HR, psychiatric, or other professional advice. For any decision requiring a licensed professional, you must consult one.
• Digitlify does not warrant the accuracy, fitness for any particular purpose, or merchantability of any AI Output, and disclaims any such warranty to the fullest extent permitted by law.
• Where you configure an agent to act autonomously (execute emails, write to systems of record, move money, publish content), you are responsible for (a) defining appropriate approval gates under our Human-in-the-Loop governance model, (b) defining budget caps, and (c) reviewing the audit trail.
• You are the controller of any personal data processed by agents you configure. Your obligations as controller are defined in our Data Processing Agreement.
• If you make an AI Output available to end-users (for example, by deploying an agent that interacts with your customers), you must disclose that the content is AI-generated where required by applicable law or reasonable user expectation.

In short: AI Outputs are an input into your workflow, not a substitute for your judgment. Human review is required for any output that has legal, medical, financial, employment, safety, or reputational consequences.

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Digitlify Inc. and its licensors.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Digitlify. The AI models and agent architectures generated are protected by international copyright and patent laws.

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

In no event shall Digitlify Inc., its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services, or from any AI Output produced through the Services.

To the maximum extent permitted by law, Digitlify's total aggregate liability under these Terms shall not exceed the amounts paid by you to Digitlify in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Digitlify Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of AI Outputs without the human review and professional oversight required by Section 4 (AI Outputs & Human Review).
• Any agent you configure or deploy that violates the Acceptable Use Policy, including synthetic-media abuse, unlicensed professional advice, spam, fraud, or content that violates third-party rights.
• Your failure to disclose AI-generated content to end-users where such disclosure is required by applicable law.
• Any breach of these Terms or applicable law by you or by any agent operating under your account.

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Digitlify Inc. is incorporated in the State of Delaware.
